We advise fund managers and family offices in setting up funds, advising on structuring, securities offering, licensing and tax aspects, including applications for fund management licences, and tax incentives such as the Enhanced-Tier Fund Scheme. We have established and advise on fund structures including the venture capital company (VCC) for single and multi-family offices, and funds. We have to-date assisted in the incorporation of several VCCs with more than 10 sub funds registered under such VCCs, with total capital commitments raised or to be raised of more than US$500,000,000 in aggregate and which mandates for investment in business or industry sectors ranging from aircraft, agricultural assets and infrastructure project financing, video gaming, sports and entertainment sectors, and investments in companies involved in Web3 and Metaverse related businesses.

We work actively with start-ups from both the investor and investee perspective, helping to support our clients in building their businesses from the ground up, and we routinely advise on investment agreements (including instruments such as SAFE and SAFT), venture capital financing, franchising and joint venture arrangements.
